Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") are a legally binding agreement between you and Solutions Technology USA LLC ("Operalis," "we," "us," or "our") governing your access to and use of the Operalis platform, including our website, web application, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
2. Eligibility
The Service is intended for commercial, business-to-business use. By using the Service, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of your company or organization.
3. Description of Service
Operalis is a mobile-first software-as-a-service (SaaS) platform for field service operations management. The Service includes work orders, scheduling, team management, a customer CRM, estimates, invoices, timesheets, and optional GPS/check-in features, available via web and iOS/Android apps. Features may evolve over time, and we do not guarantee any specific roadmap feature.
4. Accounts and Multi-Tenant Structure
Each subscription is associated with a company account. The account owner or administrator manages billing, users, and access permissions, and is responsible for all activity under the account. Plans include quotas (such as seats, branches, and storage) that vary by tier. You are responsible for keeping credentials secure and ensuring your team complies with these Terms.
5. Subscription Plans
Operalis is offered through tiered subscription plans — Starter, Growth, and Pro — billed monthly or annually in U.S. dollars (USD). Current pricing is displayed at checkout and on our pricing page. We may change pricing for new customers with notice; existing subscribers may be grandfathered into their current pricing where applicable.
6. Free Trial
When offered, we may provide a 14-day free trial. A valid payment method may be required to start a trial. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged at the then-current rate.
7. Billing and Payment
- All payments are processed securely by Stripe.
- Subscriptions renew automatically until cancelled.
- Applicable taxes or sales tax may be added based on your jurisdiction.
- If a payment fails, access may be restricted (including grace period, read-only access, or suspension) in accordance with our billing policies.
8. Plan Changes (Upgrade / Downgrade)
You can manage and change your subscription at any time through the Stripe Customer Portal ("Manage subscription").
- Upgrade: prorated charges apply immediately or on your next invoice.
- Downgrade: a prorated credit is applied to future invoices. Downgrades do not result in cash refunds unless required by law.
- Billing cycle changes (monthly ↔ annual) are available through the portal where supported.
9. Cancellation
You may cancel your subscription at any time through the Stripe Customer Portal. Unless otherwise stated, cancellation takes effect at the end of the current billing period. After cancellation, you retain access until the end of the paid period, after which access restrictions apply.
10. Refunds
Except where required by law, fees are generally non-refundable, and we do not provide refunds for partial billing periods already started. Payment disputes may be handled through Stripe or your card issuer.
11. Founding and Promotional Pricing
From time to time we may offer founding or promotional pricing, including limited-time discounts. These offers are limited and subject to their specific terms. Changing your plan through the public Customer Portal may migrate you to the then-current public pricing.
12. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Abuse, scrape, or overload the Service or its infrastructure
- Reverse engineer, decompile, or copy any part of the Service
- Send spam or transmit malicious code
- Use location features for unlawful surveillance or beyond legitimate business purposes
13. Mobile Applications
Subscriptions are managed outside of the native mobile apps, through the web and the Stripe Customer Portal, consistent with the multiplatform service model described in App Store Review Guideline 3.1.3(a). The native apps are not an in-app purchase marketplace for subscriptions.
14. Data and Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
15. Intellectual Property and License
Operalis grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription. The Service, including its software, design, and content, is owned by Operalis and protected by intellectual property laws. You retain ownership of the data you input into the Service.
16. Disclaimer and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
- WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
17. Indemnification
You agree to indemnify and hold harmless Operalis and Solutions Technology USA LLC, and its officers, directors, employees, and agents, from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
18. Termination
We may suspend or terminate your account for violation of these Terms, non-payment, or where we reasonably believe your use poses a security or legal risk. Upon termination, your right to access the Service ends. You may request an export of your data before termination, subject to applicable retention obligations.
19. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms with a new effective date and, where appropriate, notify you by email or within the Service. Continued use after changes take effect constitutes acceptance.
20. Governing Law
These Terms are governed by the laws of the United States and the State of Utah, without regard to its conflict of laws principles.
